Uygulamada dernek tarafından alınan karar ile dış ilişkide üçüncü kişilerle gerçekleştirilen uygulama işlemenin iç içe girdiği görülmektedir. Özellikle bu konudaki uyuşmazlıklarda ilk derece mahkemesi kararları incelendiğinde, uygulama işleminin geçersizliğinin yerine dernek kararının ve hatta üçüncü kişilerle gerçekleştirilen hukuki işlemin “iptaline” yönelik talepte bulunulduğu belirtilebilir. Oysa derneğin iç işlemi niteliğindeki kararları ile dış ilişkide gerçekleştirilen uygulama işlemi birbirinden ayrılmalıdır. İlki, derneğin tüzel kişiliğinin iradesini ortaya koyan işlemdir, diğeri ise -tıpkı gerçek kişinin diğer tarafla yaptığı işlemlerde olduğu gibi- bir hukuk öznesinin gerçekleştirdiği hukuki işlemdir. Bu çerçevede çalışmada, derneklerin iç işlemleri (kararlar) ile bunların -geniş anlamda- hükümsüzlüğüne ilişkin temel prensipler ve bu hükümsüzlüğün dernek tarafından üçüncü kişilerle gerçekleştirilen uygulama işlemlerinin akıbetine etkisi ele alınmıştır. Bunun yanında yetkisiz organ tarafından üçüncü kişilerle yapılmış olan hukuki işlemin, derneği bağlayıcı olup olmadığı incelenmiştir.
In practice, resolutions adopted by associations and the transactions implementing the resolution carried out with third parties in external relations are often intertwined. Especially in disputes of this kind, an examination of first instance court decisions shows that instead of seeking a declaration of the nullity/invalidity of the legal transaction claims are frequently directed at the annulment of the association’s resolution and/or the legal transaction concluded with third parties. However, the association’s internal acts in the form of resolutions must be distinguished from the transaction carried out in external relations. The former constitutes an act expressing the will of the association as a legal person, whereas the latter -just as in legal transactions concluded by a natural person with another party- is a legal transaction performed by a legal subject. Within this framework, the study examines the internal acts (resolutions) of associations, the fundamental principles governing their nullity or invalidity in a broad sense, and the effects of such nullity or invalidity on the fate of the legal transaction concluded by the association with third parties. In addition, it has been examined whether a legal transaction concluded with third parties by an unauthorized organ is binding on the association.
