Abstract

Adi ortaklık, Türk Borçlar Kanunu’nda düzenlenen ve tüzel kişiliği bulunmayan bir kişi ortaklığıdır. Bu ortaklık türü, bireylerin veya tüzel kişilerin belirli bir amacı gerçekleştirmek üzere emek ve malvarlığı değerlerini bir araya getirmelerine imkan tanıyan esnek bir sözleşmesel yapı ortaya koymaktadır. Uygulamada adi ortaklık, basit gündelik işbirliklerinden konsorsiyum veya ortak girişim gibi daha karmaşık organizasyonlara kadar geniş bir alanda karşımıza çıkabilmektedir. Bu yönüyle adi ortaklık, yalnızca bir sözleşme tipi değil, aynı zamanda ortaklık kavramının en yalın ve temel görünümünü temsil eden bir model niteliği taşımaktadır.

Bu çalışmada adi ortaklığın hukuki niteliği ve kurucu unsurları incelenmiştir. Bu kapsamda adi ortaklığın kişi unsuru, amaç unsuru, sözleşme unsuru, sermaye unsuru ve ortakların müşterek amaca yönelmiş birlikte çabasını ifade eden affectio societatis unsuru ele alınmıştır. Ayrıca adi ortaklık sözleşmesinin şekli, iradi şekil, sermaye payının niteliği sebebiyle ortaya çıkabilecek şekil meseleleri ile sözleşmenin geçersizliği ve eksik ortaklık doktrini çerçevesinde ortaya çıkan hukuki sorunlar değerlendirilmiştir. Çalışmada ayrıca adi ortaklığın ortaklıklar hukuku sistemindeki konumu üzerinde durulmuş ve adi ortaklığın temel ortaklık modeli niteliği açıklanmıştır. Bu bağlamda adi ortaklığın, kanunla düzenlenmiş diğer ortaklık türlerinin ayırt edici özelliklerini taşımayan ortaklık ilişkileri bakımından tamamlayıcı bir işlev gördüğü ve ortaklık kavramının dogmatik temelini oluşturduğu ortaya konulmuştur. Sonuç olarak adi ortaklık, sözleşmesel temele dayanan, ortaklar arasındaki güven ilişkisine ve ortak amaca yönelmiş işbirliğine dayanan bir kişi ortaklığıdır. Bu nedenle adi ortaklığın hukuki niteliğinin ve unsurlarının doğru biçimde ortaya konulması, yalnızca bu ortaklık türünün anlaşılması bakımından değil, aynı zamanda ortaklıklar hukukunun genel teorisinin açıklanması bakımından da önem taşımaktadır.

Abstract

Ordinary partnership (simple partnership) is a type of partnership regulated under the Turkish Code of Obligations and characterized by the absence of legal personality. This partnership structure provides a flexible contractual framework allowing individuals or legal entities to combine their labor and assets in order to achieve a common objective. In practice, ordinary partnerships may arise in a wide variety of contexts, ranging from simple everyday collaborations to more complex organizational forms such as consortia or joint ventures. In this respect, the ordinary partnership represents not only a contractual arrangement but also the most basic and fundamental model of partnership relations.

This study examines the legal nature and the constitutive elements of the ordinary partnership. Within this framework, the elements of the partnership, namely the element of persons, the element of purpose, the contractual element, the capital contribution element, and the element of affectio societatis—which reflects the partners’ intention to cooperate in pursuit of a common objective—are analyzed. Furthermore, issues concerning the form of the partnership agreement, voluntary form requirements, form-related problems arising from the nature of capital contributions, as well as the invalidity of the partnership agreement and the doctrine of defective partnership are evaluated. The study also addresses the position of ordinary partnership within the system of partnership law and emphasizes its role as the fundamental partnership model. In this context, it is demonstrated that the rules governing ordinary partnerships serve a supplementary function in cases where the distinctive characteristics of other legally regulated partnership types are absent and that the ordinary partnership constitutes the dogmatic foundation of partnership law.

Consequently, the ordinary partnership is a partnership based on contractual cooperation, mutual trust among partners, and a common purpose pursued collectively. Therefore, a proper understanding of the legal nature and elements of the ordinary partnership is essential not only for explaining this particular partnership type but also for clarifying the general theory of partnership law.
