Abstract
Organ yokluğu ya da başka bir nedenle anonim ortaklığın yönetiminde boşluk oluştuğunda yönetimin aksamaksızın yerine getirilmesi gerekir. Bunu sağlamak için uygulamada kullanılan yöntemlerden biri kayyım atamadır. Atanan kayyımın ortaklığın işleyişini, ortaklık yapısına, özellikle anonim ortaklık ilkelerine, yönetim kurulu üyelerinin uyması gereken yükümlülüklere göre sürdürmesi beklenir. Ortaklığa yabancı bir öge olan, geçici niteliğe sahip kayyımın atanmasında değişik, kimi zaman pay sahiplerini anonim ortaklığı kurmaya yönelten düşünceyle uyuşmayan kararlar görülebilmektedir. Burada temsil değil yönetim kayyımını inceleyecek, öncelikle kayyımının bir zorunluluk olmadığını saptayacağız. Daha sonra olası yönetim boşluğunda kalıcı çözümü araştıracağız

Abstract
In case of a gap in the management of a joint stock company due to the absence of an organ orany other reason, the management must be carried out without any disruption. One of themethods used in practice to ensure this is the appointment of a trustee.The appointed trusteeis expected to continue the operation of the partnership in accordance with the partnershipstructure, especially the principles of joint stock companies, and the obligations that boardmembers must comply with.In the appointment of a temporary trustee, which is an elementforeign to the partnership, decisions that are different and sometimes incompatible with theidea that led the shareholders to establish the joint stock company can be seen.First of all, itwas determined that a trustee was not a necessity.Later, a permanent solution was sought inthe event of a possible management gap. Here, the management trusteeship, not therepresentation, was examined.
